CODE OF ETHICS

PREAMBLE

The Brazil Vietnam Chamber commits to strengthening commercial, cultural and diplomatic relations between Brazil and Vietnam. This Code of Ethics aims to ensure that the actions and decisions of all members and collaborators of the Chamber are aligned with the highest standards of integrity, respect and transparency, reflecting the values of the institution and the society in which we operate.

CHAPTER I - PRINCIPLES AND VALUES

Art. 1 - Integrity

All members and collaborators of the Chamber must act with honesty, transparency and respect. The actions of the Chamber and its representatives must be based on truthfulness and a commitment to the truth at all times.

Art. 2 - Respect for Diversity

The Chamber recognizes and values cultural, ethnic, religious and ideological diversity. All members and collaborators must act with respect, dignity and fairness, ensuring a harmonious environment free from discrimination.

Art. 3 - Social Responsibility

The Chamber is committed to social responsibility, promoting actions that contribute to sustainable development and benefit communities both in Brazil and in Vietnam.

Art. 4 - Trust and Confidentiality

All members and collaborators of the Chamber must maintain the confidentiality of sensitive information shared by clients, partners or other members. Trust is the foundation of all commercial and institutional relationships.

Art. 5 - Responsible Use of Information

All members and collaborators must treat institutional, commercial and strategic information responsibly, ensuring confidentiality when necessary and avoiding the dissemination of false or inaccurate information.

CHAPTER II - CONDUCT STANDARDS

Art. 6 - Conflict of Interest

Members and collaborators of the Chamber must avoid situations in which their personal interests may conflict with the interests of the Chamber or its members. Any potential conflict of interest must be promptly reported to the Presidency of the Chamber for evaluation and, if necessary, mediation.

Art. 7 - Commitment to Legality

All members and collaborators must comply with applicable laws, regulations and standards, both in Brazil and in Vietnam, ensuring that the Chamber’s actions are conducted in accordance with legal principles.

Art. 8 - Relations with Third Parties

The Chamber does not tolerate any form of corruption, bribery or improper payment to third parties, whether in commercial transactions or interactions with public entities. All members must act ethically and transparently in all professional relationships.

Art. 9 - Relations with Public and Private Entities

In interactions with authorities, companies and other organizations, the Chamber and its representatives must observe ethical principles, avoiding any practice that may constitute undue favoritism, conflict of interest or corruption.

Art. 10 - Care for the Chamber’s Assets

Members and collaborators of the Chamber must use the institution’s resources and property responsibly, ensuring their preservation and avoiding waste or misuse.

Art. 11 - Transparency and Accountability

The Chamber must act with full transparency in the management of its resources, decisions and activities. Relevant information must be made available to members, and accountability will be carried out periodically as established in the Internal Regulations.

Art. 12 - Protection of the Chamber’s Image

Members and collaborators must act ethically and professionally in all interactions and representations of the Chamber, preserving its reputation and credibility in Brazil, Vietnam or any other country in which it operates.

CHAPTER III - INDIVIDUAL AND COLLECTIVE RESPONSIBILITY

Art. 13 - Individual Responsibility

Each member and collaborator of the Chamber is responsible for their actions and decisions, and is expected to act ethically in all situations, reflecting the values of the Chamber.

Art. 14 - Collective Responsibility

It is everyone’s duty to safeguard the reputation of the Chamber and promote a healthy, inclusive and collaborative work environment. The Chamber must be seen as an organization that practices what it advocates and is committed to ethics in all its operations.

CHAPTER IV - PROCEDURES IN CASE OF VIOLATION

Art. 15 - Reporting Violations

Any violation of this Code of Ethics must be immediately reported to the Presidency of the Chamber. Reports may be made anonymously and will be handled seriously, confidentially and impartially.

Art. 16 - Consequences of Violation

In case of a confirmed violation of this Code, the member or collaborator may be warned, suspended or expelled from the Chamber, depending on the severity of the infraction. The decision will be made by the General Assembly after analysis and opinion of the Board of Directors.

CHAPTER V - FINAL PROVISIONS

Art. 17 - Revision of the Code

This Code of Ethics will be reviewed periodically to ensure its relevance and alignment with changes in the institutional and social environment. Changes to the Code may only be made with approval from the General Assembly.

Art. 18 - Acceptance of the Code

Joining the Chamber implies acceptance of this Code of Ethics. All members and collaborators must comply with the rules established in this document, recognizing its validity and committing to follow it.
